Inacom Corp. agreed to acquire three network consulting providers for about $10.5 million cash and about 360,000 common shares. The purchase may also include an additional 120,000 shares contingent upon future events.
The companies to be acquired are Perigee Communications Inc., Minneapolis; Networks Inc., Fort Lauderdale; and Gorham Clark in New York. Gorham Clark also has satellite offices in Boston and Stamford, Conn.
In a press release, Inacom said it expects a fourth-quarter nonrecurring, after-tax charge of $1 million to $1.25 million for certain costs and expenses in connection with the transactions.
The Intl. Assn. of Machinists and Aerospace Workers filed a libel action against Walt Disney Pictures & Television Inc. seeking $50 million in compensatory damages, punitive damages and other relief for ”injuries to its reputation” resulting from the film ”Ransom.”
In a press release, the union said the suit, filed in Maryland Circuit Court in Prince Georges County, was based on a character who is ”clearly described as a corrupt Machinists Union official, a description which is accompanied by references to Machinists Union indictments.”
The union said Disney rejected requests that the references be deleted from the film.
A Disney spokesman said the company doesn’t comment on pending litigation.
